Concentration risk, information asymmetry between the lead arranger and participant banks, and coordination challenges during borrower distress are key governance concerns. Regulators require transparent loan documentation and equitable sharing of material information to protect minority lenders in the syndicate.
Syndicated lending balances scale with prudence by distributing credit risk while retaining flexibility in loan structure. Strengthening disclosure norms and secondary market liquidity for syndicated loans will deepen India's credit markets and support long-term capital formation.
